Averonix Capital LLC, doing business as Averonix ("Averonix," "we," "us," or "our"), respects your privacy. This Privacy Policy explains what personal information we collect, how we use and share it, and the choices and rights you have. It applies to our website at averonixseats.com (the "Site") and to the ticket sourcing and resale services we provide by request (together with the Site, the "Services").

By using the Services, you acknowledge that you have read this Privacy Policy. If you do not agree with it, please do not use the Services.

1. Information we collect

1.1 Information you give us

We collect information you provide when you submit a ticket request, contact us, approve a quote, place an order, or otherwise communicate with us. This may include:

• Contact details: name, email address, phone number, and billing address.
• Request and order details: the events, dates, seating preferences, number of tickets, budget, and any notes you share, such as accessibility needs or the occasion.
• Ticket delivery details: the name, email address, or ticketing-platform account needed to transfer tickets to you or your guests.
• Payment information: payments are processed by third-party payment processors. We receive confirmation of payment and limited details such as the last four digits and type of card, but we do not receive or store full card numbers.
• Communications: the content of emails, messages, and calls you have with us.

1.2 Information collected automatically

When you visit the Site, we and our service providers may automatically collect technical information, including your IP address and approximate location derived from it, browser and device type, operating system, referring pages, pages viewed, and the date and time of your visit.

1.3 Information from other sources

We may receive information about you from ticketing platforms and sellers involved in fulfilling your order (for example, confirmation that a transfer was sent or accepted), from payment processors (for example, fraud-screening results), and from people who purchase tickets on your behalf.

2. How we use information

We use personal information to:

• Respond to requests, prepare quotes, and source tickets.
• Process payments, fulfill orders, and deliver tickets.
• Communicate with you about your requests, orders, delivery, event changes, and support.
• Detect, prevent, and respond to fraud, chargebacks, and security incidents.
• Operate, maintain, and improve the Site and Services.
• Send marketing communications where permitted and in line with your choices.
• Comply with legal obligations, resolve disputes, and enforce our Terms of Service.

3. How we share information

We do not sell your personal information, and we do not share it for cross-context behavioral advertising. We share personal information only as follows:

• Service providers: companies that help us run the business, such as payment processors, email and communication tools, website hosting, and accounting providers. They may use your information only to provide services to us.
• Ticket sellers and ticketing platforms: the minimum information needed to complete your purchase and transfer the tickets to you, such as the name and email address the tickets should be sent to.
• Legal and safety reasons: when we believe disclosure is required by law, subpoena, or other legal process, or is needed to protect the rights, property, or safety of Averonix, our customers, or others, including to prevent fraud.
• Business transfers: in connection with a merger, acquisition, financing, or sale of all or part of our business, subject to this Privacy Policy.
• With your consent: in any other case where you ask us to or agree that we may.

4. Cookies and analytics

The Site may use cookies and similar technologies that are necessary for it to function, and may use analytics tools to understand how visitors use the Site so we can improve it. We do not use cookies to sell your information or to serve targeted advertising. You can block or delete cookies in your browser settings; some parts of the Site may not work correctly without them.

Where required by law, we treat a Global Privacy Control (GPC) signal from your browser as a valid request to opt out of the sale or sharing of personal information. The Site does not currently respond to other "Do Not Track" browser signals.

5. Marketing communications

We may send you emails about events, availability, or offers where permitted by law. You can opt out at any time using the unsubscribe link in any marketing email or by contacting us. We will send marketing text messages only if you have given express consent; you can reply STOP to opt out. Message and data rates may apply. Even if you opt out of marketing, we will still send messages about your requests and orders.

6. Data security

We use reasonable administrative, technical, and physical safeguards to protect personal information, including encryption of data in transit (TLS), access controls, and use of reputable payment processors. No method of transmission or storage is completely secure, so we cannot guarantee absolute security. We will never ask you to send full card numbers by email or text message.

7. Data retention

We keep personal information only as long as reasonably necessary for the purposes described in this policy, including to complete orders, provide support, maintain business and tax records, resolve disputes, prevent fraud, and meet legal requirements. When it is no longer needed, we delete or de-identify it.

8. Your privacy rights

Depending on where you live, including California, Colorado, Connecticut, Virginia, and other U.S. states with consumer privacy laws, you may have the right to:

• Know and access the personal information we hold about you, and receive a copy in a portable format.
• Correct inaccurate personal information.
• Delete personal information, subject to legal exceptions (for example, records we must keep for tax purposes).
• Opt out of the sale or sharing of personal information, targeted advertising, and certain profiling. As stated above, we do not sell or share personal information for these purposes.
• Appeal a decision we make about your request, where your state provides that right.

To make a request, contact us using the details below. We will verify your identity before acting on a request, and may ask for information to do so. You may use an authorized agent to make a request on your behalf, and we may ask for proof of that authorization. We will not discriminate against you for exercising your privacy rights.

9. Third-party links and services

The Site and our communications may link to third-party websites and services, such as ticketing platforms and payment processors. Their privacy practices are governed by their own policies, and we are not responsible for them. We encourage you to review those policies.

10. Children's privacy

The Services are intended for adults 18 and older. We do not knowingly collect personal information from anyone under 18. If you believe a minor has provided us with personal information, please contact us and we will delete it.

11. International users

We are based in the United States. If you use the Services from outside the U.S., your information will be transferred to, stored, and processed in the United States, where data protection laws may differ from those in your country.

12. Changes to this policy

We may update this Privacy Policy from time to time. When we do, we will change the "Last updated" date above and, if the changes are significant, provide additional notice where appropriate. Your continued use of the Services after an update means you accept the revised policy.

Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Averonix Capital LLC, doing business as Averonix ("Averonix," "Company," "we," "us," or "our"). They govern your use of our website at averonixseats.com (the "Site") and any ticket requests, quotes, and purchases you make through us (together with the Site, the "Services").

By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Please read Section 15 carefully. It requires most disputes to be resolved through individual binding arbitration and includes a waiver of class actions and jury trials, unless you opt out as described there.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you confirm that you meet these requirements. If you buy tickets on behalf of a company or other organization, you confirm that you are authorized to bind it to these Terms.

2. Our services

Averonix is an independent ticket resale service. At your request, we source tickets for concerts, sporting events, theater, festivals, and other live events from third-party sources, including licensed brokers, resale marketplaces, and individual ticket holders, and resell them to you.

• We are not the primary issuer of any ticket, and we are not affiliated with, endorsed by, or sponsored by any venue, team, league, artist, promoter, or primary ticketing company.
• Resale prices are set by the market and may be above or below the face value printed on the ticket.
• Event, team, venue, and performer names are used only to identify the tickets we offer.

3. Requests, quotes and orders

• Requests are not orders. Submitting a request through the Site, by email, or otherwise does not create a purchase or any obligation for you or for us.
• Quotes. We will send you a written quote that describes the tickets (including section and row where available), the total price, the delivery method, the expected delivery timing, and any known restrictions. Because ticket availability and prices change quickly, a quote is valid only for the period stated in it and is subject to availability until your order is confirmed.
• Orders. An order is formed only when you approve a quote, we confirm the order in writing, and we receive your payment in full.
• Our right to decline. We may decline or cancel any request or order at our discretion, including where we suspect fraud, cannot secure the tickets, or a quote contained an obvious error. If we cancel an order after you have paid, we will refund you in full.

4. Pricing and payment

• Prices are in U.S. dollars unless your quote says otherwise.
• Your quote states an all-in total that includes our service fees, delivery fees, and any applicable taxes. You will not be charged more than the total you approve for that order.
• Payment is due in full when you approve your order and is made through the secure payment link or invoice we send. Accepted methods will be listed there. We will never ask for your full card number by email or text message.
• If you have a problem with a charge, please contact us before disputing it with your card issuer so we can try to resolve it quickly. If a chargeback is filed on an order that we have fulfilled in accordance with these Terms, we may cancel or suspend the related tickets where permitted and seek to recover the amount owed.

5. Ticket delivery

• Tickets are delivered by the method stated in your order confirmation, such as a mobile transfer to the official ticketing platform, electronic tickets, or another method the event allows.
• Some events restrict transfers until shortly before the event. Delivery timing depends on the event, the ticketing platform, and the seller. We will tell you the expected timing in your quote and keep you informed of any changes.
• You are responsible for providing accurate delivery details and for accepting ticket transfers promptly. We are not responsible for delivery failures caused by incorrect information you provide or transfers you do not accept.
• If we are unable to deliver the tickets you ordered, we will, at your choice, provide comparable or better replacement tickets at no additional cost (if available) or refund you in full.

6. Refunds and cancellations

This section is our Refund Policy.

• Cancelled events: If an event is cancelled and not rescheduled, you will receive a full refund of the amount you paid for that order.
• Postponed or rescheduled events: Tickets are generally valid for the new date. Whether a refund is available depends on the circumstances and on the policies of the event organizer and ticketing platform; we will tell you your options when we are notified of the change.
• Invalid tickets: If a ticket we deliver is not valid for entry, we will provide comparable or better replacement tickets or a full refund. Please contact us right away from the venue if possible, and in any case within 48 hours after the event, with any documentation you have (for example, a note or photo from venue staff).
• Our cancellation: If we cancel your order for any reason other than your breach of these Terms, you will receive a full refund.
• Other situations: Because every ticket is secured specifically for your order, sales are otherwise final. We do not offer refunds for a change of plans, inability to attend, weather, travel issues, changes to the performer lineup, opening act or program (unless the event itself is cancelled), or denial of entry caused by your conduct or by your failure to follow venue rules.
• Refunds are issued to the original payment method within a reasonable time, generally within 10 business days after we confirm eligibility. Nothing in this section limits any rights you have under applicable consumer protection laws.

7. Event, venue and ticket rules

Your attendance is subject to the rules of the venue, event organizer, and ticketing platform, including security screening, bag policies, age restrictions, ID requirements, and codes of conduct. Some tickets carry restrictions, such as being tied to a specific name or account, or being non-transferable. We will disclose known restrictions in your quote. We are not responsible for the content, schedule, quality, or conduct of any event, or for actions taken by a venue or organizer.

8. Your responsibilities

You agree to provide accurate information, to use tickets only as permitted by the event's terms and applicable law, and not to resell tickets bought from us where doing so would violate the law or the event's terms.

9. Acceptable use of the Site

You agree not to:

• Use the Services for any unlawful or fraudulent purpose, including using payment methods you are not authorized to use.
• Access or attempt to access our systems or data without authorization, or interfere with the Site's operation or security.
• Use bots, scrapers, or other automated tools to access the Site.
• Impersonate any person or misrepresent your affiliation with anyone.
• Upload or transmit malware or other harmful code.

10. Intellectual property

The Site and its content, including text, design, graphics, and the Averonix name and logo, are owned by Averonix Capital LLC or its licensors and are protected by intellectual property laws. You may view the Site for your personal use but may not copy, modify, distribute, or create derivative works from it without our written permission. Third-party names and marks belong to their respective owners.

11. Disclaimers

Except as expressly stated in these Terms, the Site and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

12. Limitation of liability

To the fullest extent permitted by law, Averonix Capital LLC and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, travel or lodging costs, or other losses arising from or related to the Services or any event. Our total liability for any claim relating to an order will not exceed the amount you paid us for that order, and for any other claim will not exceed one hundred U.S. dollars ($100).

Nothing in these Terms limits liability that cannot be limited by law, including for fraud or gross negligence.

13. Indemnification

You agree to indemnify and hold harmless Averonix Capital LLC and its members, managers, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services or tickets, or your violation of any law or third-party right.

14. Governing law

These Terms are governed by the laws of the state in which Averonix Capital LLC is organized and applicable U.S. federal law, without regard to conflict-of-law rules.

15. Dispute resolution and arbitration

Informal resolution first

Most concerns can be resolved quickly by contacting us. Before starting any formal proceeding, you and we each agree to send a written description of the dispute to the other and try in good faith to resolve it for at least 30 days.

Binding individual arbitration

If the dispute is not resolved informally, it will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. The arbitration may take place by video conference or in the county where you live. Either party may instead bring an individual claim in small claims court if it qualifies.

Class action and jury trial waiver

You and Averonix each agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding, and each waive the right to a jury trial.

Opting out

You may opt out of this arbitration agreement by emailing us at [contact email] within 30 days after you first accept these Terms, with your name and a clear statement that you are opting out. Opting out will not affect any other part of these Terms.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on the Site and change the "Last updated" date above. Changes apply to requests and orders made after they are posted; the Terms in effect when your order was confirmed continue to apply to that order.

17. General terms

• Entire agreement: These Terms, the Privacy Policy, and any written order confirmation are the entire agreement between you and us about the Services. If an order confirmation conflicts with these Terms, the order confirmation controls for that order.
• Severability: If any provision is found unenforceable, the rest remain in effect.
• No waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Events beyond our control: We are not responsible for delays or failures caused by events beyond our reasonable control, such as ticketing-platform outages, government actions, or natural disasters. This does not affect your refund rights under Section 6.
